SpotRoster Demo Merchant Terms
1. Acceptance of Merchant Terms
By creating, managing, publishing, or operating a merchant account, client page, product listing, promotion, reservation campaign, drawing, giveaway, or similar activity through SpotRoster, the merchant agrees to these Merchant Terms, the SpotRoster Terms & Conditions, Privacy Policy, Disclaimer, Refund Policy, and Acceptable Use Policy.
2. Independent Merchant Responsibility
Each merchant is an independent business or organization and is solely responsible for its own products, services, promotions, eligibility requirements, customer communications, legal compliance, fulfillment, transfers, refunds, taxes, licensing, and operational decisions.
SpotRoster does not act as the merchant, seller, firearm dealer, transfer agent, auctioneer, raffle operator, gambling operator, payment processor, prize administrator, legal advisor, tax advisor, or compliance officer for any merchant.
3. Legal Compliance
Merchants are solely responsible for ensuring that every campaign, listing, product, promotion, drawing, reservation system, customer transaction, and fulfillment process complies with all applicable federal, state, county, municipal, and local laws, rules, and regulations.
Merchant responsibilities include, but are not limited to:
- Determining whether a promotion, drawing, giveaway, reservation campaign, or similar activity is legally permitted.
- Preparing and publishing legally compliant campaign rules where required.
- Enforcing all age restrictions and eligibility requirements.
- Ensuring products and services are lawful in the merchant’s jurisdiction and the customer’s jurisdiction.
- Maintaining all required licenses, permits, registrations, insurance, and approvals.
- Collecting, reporting, and remitting any required taxes, fees, or assessments.
- Handling customer disputes, cancellations, substitutions, refunds, and fulfillment obligations.
4. Age Verification and Eligibility
Merchants are solely responsible for enforcing age requirements, legal eligibility rules, possession requirements, transfer requirements, and any product-specific or campaign-specific restrictions.
SpotRoster may display acknowledgement checkboxes, notices, and user certifications; however, these tools do not replace the merchant’s duty to verify eligibility and enforce all applicable laws and restrictions.
5. Non-Discrimination
Merchants may not use SpotRoster to unlawfully discriminate against users based on race, color, religion, sex, gender identity, national origin, disability, veteran status, political affiliation, lawful beliefs, or any other legally protected classification.
SpotRoster does not accept, reject, screen, filter, or approve users based on protected characteristics or personal beliefs. Any lawful product-specific eligibility requirement must be enforced by the merchant in a legally compliant manner.
6. Regulated Products and Firearm-Related Listings
If a merchant lists or promotes regulated products, including firearms, ammunition, accessories, age-restricted goods, or other controlled items, the merchant is solely responsible for full compliance with all applicable laws and transfer requirements.
SpotRoster does not sell, possess, transfer, broker, ship, inspect, approve, or take custody of firearms or regulated products. Any firearm-related transfer must be completed by the merchant and/or a properly licensed Federal Firearms Licensee where required.
Merchants are solely responsible for background checks, waiting periods, transfer denials, prohibited-person screening, identity verification, residency requirements, age requirements, and all federal, state, and local firearm laws.
7. Campaign Rules and Customer Disclosure
Merchants are responsible for providing clear and accurate information to customers, including product descriptions, available spots or entries, pricing, campaign timelines, selection procedures, refund rules, eligibility requirements, and any conditions that may affect participation or fulfillment.
Merchants may not publish misleading, deceptive, incomplete, unlawful, or materially inaccurate information through SpotRoster.
8. Payments, Refunds, and Chargebacks
Unless otherwise agreed in writing, merchants are responsible for payment setup, payment processor compliance, customer billing issues, refunds, chargebacks, disputes, taxes, and financial reconciliation related to their campaigns or products.
SpotRoster may provide technical integration support, but SpotRoster is not responsible for merchant payment disputes, payment processor account actions, chargebacks, failed payments, refunds, or customer financial claims caused by merchant operations.
9. Prohibited Merchant Conduct
Merchants may not use SpotRoster to:
- Violate any law, regulation, court order, or government requirement.
- Promote illegal products, unlawful services, stolen property, fraudulent activity, or deceptive campaigns.
- Manipulate reservations, entries, results, drawings, pricing, availability, or customer records.
- Bypass security controls or interfere with platform integrity.
- Upload malware, scripts, spam, abusive content, or unauthorized automation.
- Misrepresent SpotRoster as the operator, seller, sponsor, guarantor, or legal administrator of a merchant campaign.
- Use SpotRoster in a way that damages the platform, users, merchants, or SpotRoster’s reputation.
10. Platform Security and Abuse Prevention
SpotRoster reserves the right to monitor, log, investigate, restrict, suspend, or terminate access to protect the platform, users, merchants, infrastructure, data, payment flows, and service integrity.
SpotRoster may preserve logs, block traffic, limit access, remove listings, suspend accounts, notify affected parties, and cooperate with law enforcement or payment processors when suspicious, abusive, fraudulent, or malicious activity is detected.
11. Right to Remove Listings or Merchants
SpotRoster may remove, disable, restrict, or suspend any merchant account, listing, campaign, reservation page, content, or service access at its sole discretion if SpotRoster believes the activity may violate law, create risk, harm users, damage platform integrity, interfere with operations, or expose SpotRoster to liability.
SpotRoster may take these actions with or without prior notice.
12. No Legal, Tax, or Compliance Advice
SpotRoster does not provide legal, tax, accounting, regulatory, firearm compliance, gambling compliance, sweepstakes compliance, or business compliance advice. Merchants should consult qualified professionals before operating campaigns, promotions, drawings, giveaways, or regulated-product listings.
13. Indemnification
The merchant agrees to defend, indemnify, and hold harmless SpotRoster, its owners, officers, operators, contractors, service providers, affiliates, and representatives from any claims, losses, damages, penalties, fees, costs, chargebacks, regulatory actions, investigations, disputes, or expenses arising from the merchant’s products, services, promotions, listings, customer interactions, legal compliance failures, payment disputes, fulfillment issues, or misuse of the platform.
14. Limitation of Liability
To the maximum extent permitted by law, SpotRoster shall not be liable for indirect, incidental, consequential, special, punitive, exemplary, or business-loss damages, including lost profits, lost revenue, lost data, customer disputes, regulatory consequences, payment processor actions, or reputational harm arising from merchant use of the platform.
15. Updates to Merchant Terms
SpotRoster may update these Merchant Terms from time to time. Continued use of SpotRoster after updates are posted constitutes acceptance of the updated terms. Merchants may be required to acknowledge updated terms before continuing to use certain platform features.
